Terms of Service

SmartRyde, Inc (hereinafter referred to as the “Company”) provides SmartRyde, a website of online reservation for transportation from and to airports(hereinafter referred to as “Services”).
Please read Term of Services herein before accepting the Services.

1. Introduction
The Company is a sales agency of from-and-to services of ridesharing operating company (hereinafter referred to as the “Supplier”).
The Terms of Services herein will apply when the customer accepts the from-and-to services provided by the Supplier.
The Terms of Services herein can be checked anytime on the Company’s website.

1.1 Please read the Terms of Services before booking.
By booking through the website, you are regarded to have accepted the Terms of Services herein.
Moreover, the Terms of Services herein will apply to the contract with the Supplier so please read them carefully.

1.2 The Company is not the operating company of the Services.
By booking through the Company’s website, you are regarded to have agreed that the Service is provided by the Supplier.
The Terms of Services herein also will be applied [to the contract] with the Supplier from the time of booking.

1.3 The Service is not made available in any case that you do not agree to the Terms of Services herein.

2. Booking

2.1 You can make a booking 48 hours prior to the date and time of using the services.

2.2 Bookings may be rejected for any reason by the Supplier.
Please be reminded that the Company does not guarantee for the customer’s request that the Supplier will render the services.
When we reject your booking, notice will be given through the e-mail address that you have input upon making the reservation.
We can suggest alternative means; however, neither the Company nor Supplier is able to make compensation for the extra charge that will cause in such case.
The information of the Supplier is not able to be provided for the customer before the completion of the arrangement.

2.3 You need to inform (input) the Company of personal information necessary for service arrangement upon making your bookings.
If your payment cannot be confirmed by the Company, the Services will be cancelled.

2.4 The Company will issue a voucher after completion of booking procedure and confirmation of your payment for the Company.Please make sure to confirm the date of using services, contact number of the Supplier and local emergency contact number, etc. stated in it.
If you find any error in the voucher, please kindly contact the Company.
The voucher will be made on the basis of the information input upon making booking.
If the customer makes an input error, which prevents providing the services, neither the Company nor the Supplier shall take any responsibility.

2.5 Car model may be arranged differently in accordance with the Supplier, area or country.
We do not accept requests for any particular model of car.

3. Fee and payment method

3.1 The fee may be changed due inevitable reasons upon arrangement for the Supplier.

3.2 If the fee is changed after booking, the Company will contact you to confirm if you will accept the services or not.
If you want to cancel it, the full paid amount will be returned to you.

3.3 The price that is listed in the Company’s website is a cost for one vehicle and this amount does not vary with the number of users.

3.4 Only credit or debit cards are available for payment.
The service fee that is incurred upon making payment will be borne by the customer.

3.5 If the customer makes a booking for Services through a travel agency, the Company will fix the booking immediately after reception of the fee from the travel agency and getting confirmation from the Supplier.
Up to completion of payment of the fee for the Company, neither the Company nor the
Supplier takes any responsibility.

4. About special support
If any special support is necessary for operating the services, please kindly contact the Company when making booking.
We may not respond to your request according to the Supplier.
If it is impossible to respond to [said] request, neither the Company nor the Supplier takes any responsibility.

5. About change of content or cancellation of booking due to customer
If you want to change any content of your booking 3 days prior to the date of acceptance [of services], please contact the Company by e-mail.
We are not available outside office hours.
We will try to change the content of booking where possible, however we may not be able to change it as requested.
Additional costs may be charged upon the change of booking.
Change of content or cancellation of booking can be made only after the Supplier agrees to it.If you [want to] cancel your booking, please refer the Cancellation Policy.

6. About change of content or cancellation of booking due to supplier
If the Supplier becomes unable to provide the services you requested because of any inevitable reason, the Company will contact you immediately to confirm if you  [continue to] accept their Services or not.
If substitute services are arranged, there is no cost for the substitute services. However, the Company is not available to bear other necessary costs.

7. Company’s Responsibility

7.1 Our company is managed as a company who acts for an agency of booking for ridesharing for the Supplier.
We are not able to take responsibility for every kind of issue that arises during acceptance of services.
The Company takes responsibility to list services provided by the Supplier in the Company’s website.
Moreover, we will convey the contents of booking requested by the customer to the Supplier.
Regarding responsibility for services that the customer will accept from the supplier and loss or damage to personal effects that happens during acceptance of services, the Company does not take responsibility.
Regarding accidents such as loss, injury or fatal accident that happen during acceptance of services, please directly demand compensation from the supplier or claim from the insurance company in which the Customer is taking out a policy.
We will take responsibility for any accident that is caused by our failure.

7.2 Regarding the content of services, the Company will provide information that has been received from the Supplier beforehand.
Regarding content of services that has been changed without giving prior notification from the Supplier to the Company or inaccurate information, the Company does not take any responsibility.

7.3 If any accident such as loss, injury or fatal accident happens because of the Company’s failure, compensation will be made up to a ceiling of twice the amount of the fee of the
Services that the Customer accepts.
Said compensation will be paid only for the person who has suffered the damages.

8. Force Majeure
In case that the services are forced to be canceled or changed because of a reason for which neither the Company nor the Supplier is involved like natural disaster such as flood, fire or earthquake, riot, conflict or war, strike, government or municipal order, civil rebellion, paralyzed transportation system, it will not return the fee.9. Customer’s Responsibility
When accepting the services, please bring the voucher issued by the Company.
Please confirm the contents of the voucher prior to acceptance of the services.
Local emergency contact number and the Supplier’s contact number are stated on the voucher.
If you are noticed that it is impossible to accept the services as scheduled in advance because of significant delay or cancellation of the flight, please call the local emergency contact number or the Supplier.
The Company may suggest a substitute plan.
However, the expense related to the substation services shall be borne by the Customer.
If the Service is cancelled without notice, we are not able to refund.

10. Opinion and Request to Company

10.1 If any accident or issue happens during accepting the services, please kindly report it to the Supplier or call the contact number that is stated on the voucher.
We will immediately seek resolution of the issue cooperatively with the Supplier.

10.2 Regarding opinions on the services that have been accepted, please send an e-mail to info@smartryde.io.
We will respond within 4 weeks of reception of the e-mail.

10.3 In the case of asking a question to the Company 4 weeks after the date of acceptance of the Services, we may be unable to respond.

11. Other

11.1 The Company may transfer or entrust all or part of the Company’s rights and obligations based on the Terms of Services.

11.2 The Terms of Services herein may be changed without giving prior notification according to the Company’s consideration.
Please make sure to confirm before making booking.
In case that the Terms of Services are changed after completion of the booking, the
Terms of Services as at the time when the Customer has made booking for the Services shall apply.

12. Jurisdiction
Any dispute related to the Terms of Services herein shall be subject to the exclusive jurisdiction by consent of the Tokyo District Court in the first instance.

13. Mutual ConsultationIf any doubt arises in relation to any matter not stipulated in the Terms of Services herein, the Company and the Customer shall seek amicable resolution by mutual consultation in good faith.

We have set rules on treatment of personal information related to customers (hereinafter referred to as “Personal Information”) and consolidated organizational structure in order to seek to protect the Personal Information.

Furthermore, the collected personal information is not used except for the purposes of marketing. About Changes or Cancellation of Booking
It is not possible to make procedures for change of the contents of booking through this website.
Please complete procedures for cancellation and then book again.

Regarding cancellation, you can cancel by displaying the details of the booking from the booking confirmation that exists at the top of the website and putting the button “cancel your booking” on the display.

Cancellation is available 48 hours prior to the date of acceptance of the services (following the local time).
In the case of a round trip, cancellation is available 48 hours prior to each date of outward and homeward.

The Company consolidates the management system necessary for maintenance and improvement of security and sets necessary measures for information security as an official company rule.

2. Responsibility of Leadership and Continuous Improvement
The manager of the Company conducts proper controls for information assets of the Company and the customers.

3. Compliance for Requirements by Law or Contract
The staff in the Company consolidate the security requirements by laws, regulations and rules related to information assets that are used for business activities and contract with customer.

4. Staff Handling
The staff in the Company learn knowledge and technology necessary for maintenance and improvement of information security in order to ensure correct handling of information.

5. Correspondence for Breach or Accident
The Company consolidates the system to respond to any breach related to laws, regulations and rules related to information assets that are used for business activities and contracts with customers and information security accidents for the purpose of reducing the effects from the breach or accident.
